Terms of Service

Effective date: 28 September 2026 · Last updated: 28 September 2026

These terms are an agreement between PrimeStar HQ LLC ("PrimeStar", "we", "us") and the business that opens an account ("you"). By using the platform you accept them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

1. What PrimeStar does

PrimeStar is a business platform for listing and selling products across multiple channels. Depending on your account type you can import products, set prices, publish listings to marketplaces you connect, receive and fulfil orders, invoice buyers, and be paid out.

PrimeStar is a tool you operate. We are not the seller of your products, and we are not a party to your sales. The contract for each sale is between you and your buyer.

2. Accounts

  • The platform is for business use only. You must be 18 or over and acting for a business.
  • Give accurate registration details and keep them current. We may suspend an account with details we cannot verify.
  • You are responsible for everything done under your account, including by colleagues you invite. Set their roles carefully — an Owner can do everything you can.
  • Keep your password to yourself. Turn on two-factor authentication; for administrator accounts we strongly recommend it.
  • Tell us immediately at support@primestarhq.com if you think someone else has access.

3. Plans, fees and commission

  • Paid plans are billed in advance, monthly or annually as you choose, and renew automatically until cancelled. Cancel any time in Billing; your plan runs to the end of the period you have paid for.
  • Fees already paid are not refundable, except where the law requires it or we have clearly got something wrong.
  • PrimeStar charges commission of 15% of the net sale amount on sales processed through the platform, less any discount you have earned. The rate in force is always visible in your account.
  • "Net sale amount" means the price the buyer paid for the goods, excluding sales tax, shipping charges and any amount refunded to the buyer. If an order is refunded in part, commission is adjusted in proportion.
  • Marketplace fees, payment processing fees, taxes and shipping costs are separate and are set by those providers, not by us.
  • Prices may change with 30 days' notice. Continuing to use the platform after that is acceptance; if you disagree, cancel before the change takes effect.
  • You are responsible for your own taxes. We do not give tax advice.

4. Connecting marketplace and inventory accounts

When you connect an account such as eBay, Amazon, Shopify or Cin7:

  • You authorise PrimeStar to act on that account on your behalf — creating, updating and withdrawing listings, and reading orders and stock.
  • You remain bound by that provider's own rules. Nothing here overrides eBay's, Amazon's or Shopify's policies, and a breach of theirs is your responsibility.
  • We cannot guarantee any marketplace will approve your account, approve a listing, or keep either active. Those decisions are theirs.
  • You can disconnect at any time. Listings already published stay where they are until you withdraw them.

5. Your data and content

  • Your data stays yours — products, prices, customers and orders. You give us the permission we need to host and process it so the platform can work, and to pass it to the providers listed in our Privacy Policy.
  • You confirm you have the right to list and sell what you upload, and that your listings are accurate and lawful.
  • You must respect brand rules that apply to you, including minimum advertised price agreements and restricted-brand approvals. The platform enforces the rules recorded in it, but the legal obligation is yours.
  • You may export your data at any time, and for 30 days after your account closes.

6. Prohibited use

You may not use PrimeStar to:

  • list or sell anything illegal, counterfeit, stolen, recalled, or barred by a marketplace;
  • infringe anyone's intellectual property;
  • misrepresent who you are, including a business registration, UEI, or SAM.gov status that is not yours;
  • interfere with the platform, attempt to access another tenant's data, or probe, scan or test our security without our written permission;
  • copy, scrape, resell or reverse-engineer the platform; or
  • send spam or harvest contact details.

We may remove content and suspend accounts that break these rules.

7. Government buyers and suppliers

If you use the government features:

  • Registration details, including your UEI and CAGE code, must be your organisation's own. We verify them against SAM.gov.
  • Approval chains exist to separate duties. Do not attempt to work around them: the person who raises a requisition cannot approve it, and no one person may approve more than one step of the same requisition.
  • You are responsible for your own compliance with federal, state and agency procurement rules. The platform supports those rules; it does not replace them.

8. Payments, payouts and refunds

  • Payments are processed by Stripe and PayPal under their own terms. PrimeStar never holds your card details.
  • Supplier earnings accumulate in your PrimeStar wallet and become available for payout once delivery of the order is confirmed. Payouts are made to the bank details on your account, within 5 business days of confirmed delivery.
  • If a sale is refunded, the matching amount is reversed from your wallet, in proportion to what was refunded.
  • You are responsible for handling your buyers' refunds and returns in line with the marketplace's policy and the law.

9. Availability and support

  • We aim to keep PrimeStar available at all times but do not promise uninterrupted service. Planned maintenance will be announced where practical.
  • The platform depends on third-party services. When Amazon, eBay, Shopify, Cin7, Stripe or PayPal is unavailable or changes its rules, parts of PrimeStar may stop working, and that is outside our control.
  • Support is provided by email at support@primestarhq.com, Monday to Friday, 9am to 5pm Pacific time.

10. Suspension and termination

  • You may close your account at any time.
  • We may suspend or close an account that breaks these terms, does not pay, or exposes us or our users to legal or security risk. Except in serious cases we will warn you first and give you a chance to put it right.
  • On closure: your access ends, your data is retained and then deleted as described in the Privacy Policy, and any money owed to you is paid out after deducting anything you owe us.

11. Disclaimers

The platform is provided "as is". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that your listings will be approved, that your products will sell, that any marketplace will keep your account open, or that automatic categorisation, pricing suggestions or AI-generated content will be correct. You are responsible for reviewing what the platform produces before relying on it.

12. Limitation of liability

To the fullest extent the law allows:

  • Neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data.
  • Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.
  • Nothing here limits liability that cannot lawfully be limited, including fraud or death or personal injury caused by negligence.

13. Indemnity

You will defend and indemnify PrimeStar against claims arising from your products, your listings, your sales, your breach of these terms, or your breach of a marketplace's rules or anyone's intellectual property.

14. Changes to these terms

We may update these terms. For material changes we will give 30 days' notice by email or in the platform. Continuing to use PrimeStar after that means you accept them.

15. Governing law and disputes

These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules.

Talk to us first. If a dispute arises, tell the other side in writing and give them 30 days to put it right. Most problems end here, and it costs nothing.

Binding arbitration. If that does not resolve it, the dispute will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. Arbitration will be before a single arbitrator, conducted in English, and seated in Sacramento County, California. Judgment on the award may be entered in any court with jurisdiction.

What this means for you. You and PrimeStar both give up the right to a judge or jury trial. An arbitrator's decision is final and can only be appealed in very limited circumstances.

Claims are individual. Disputes are resolved one-to-one. Neither party may bring a class, collective or representative action, and the arbitrator may not consolidate claims without both parties' agreement.

Exceptions. Either party may still go to court to:

  • seek an injunction or other urgent relief to protect intellectual property or confidential information; or
  • bring a claim that qualifies for small claims court in Sacramento County, California.

Costs. AAA's rules decide filing and arbitrator fees. Each party pays its own legal costs unless the arbitrator decides otherwise.

16. General

  • Entire agreement. These terms and the Privacy Policy are the whole agreement between us.
  • Severability. If part of these terms is unenforceable, the rest still applies.
  • No waiver. Not enforcing a term once does not waive it.
  • Assignment. You may not transfer this agreement without our consent. We may transfer it as part of a merger or sale of the business.
  • Notices. We write to the email on your account; write to us at support@primestarhq.com.
